In brief
Elon Musk is facing allegations from the SEC that he did not properly report his acquisition of a significant stake in Twitter, leading to potential financial harm for investors and saving him $150 million in share purchases.
Elon Musk is in hot water as the U.S. Securities and Exchange Commission (SEC) has filed a lawsuit against him, claiming he failed to disclose his significant stake in Twitter on time. The SEC alleges that this oversight allowed Musk to buy shares at "artificially low prices," ultimately saving him around $150 million. According to SEC rules, investors must report if they acquire more than 5% of a company's shares within 10 days. Musk reportedly filed his disclosure 21 days late. In response, Musk criticized the SEC on social media, labeling it a "totally broken organisation" and complaining about unpunished crimes. The SEC's complaint argues Musk's actions caused real financial harm to Twitter's shareholders. After Musk's stake was revealed on April 4, 2022, Twitter's shares surged by over 27%. He acquired Twitter for $44 billion in October 2022 and rebranded it as X. The lawsuit not only seeks to penalize Musk by requiring him to return "unjust" profits but also calls for fines. The SEC, under Gary Gensler's leadership, had previously been at odds with Musk, who has a history of clashes with the agency dating back to an investor fraud charge in 2018.
